Bloomberg has learned from insider sources that OpenAI and Windsurf (previously known as Codeium) have agreed on a takeover sum of 3 billion US dollars. The transaction has not yet been finalized. Neither company has yet commented on the deal.
Windsurf to strengthen OpenAI in the AI coding market
Rumors about the billion-dollar takeover were already circulating in mid-April. The acquisition is said to be OpenAI's response to the increasing competitive pressure on AI tools for software developers.
Windsurf develops software that enables developers to write code using natural language. OpenAI's competitors such as GitHub (Copilot), Anthropic and Anysphere (Cursor) are strongly represented in this market segment.

Windsurf was previously valued at 3 billion dollars
Last year, Windsurf was valued at 1.25 billion US dollars in a financing round led by General Fatalist. Windsurf recently negotiated new financing with investors such as Kleiner Perkins and General Catalyst. At the time, the company was valued at three billion US dollars –, exactly the amount that OpenAI is apparently willing to pay.
OpenAI last closed a 40 billion dollar financing led by the SoftBank Group in early April 2025, valuing the company at 300 billion dollars. The company also announced on Monday that it is withdrawing its plans to restructure as a conventional, profit-oriented company.
