The media company heise is acquiring the entire business operations of Mindfactory GmbH as part of an asset deal. Only the cartel office still has to approve the takeover. If this happens, one of Germany's largest online retailers of PC components will change hands.
Mindfactory and heise signed the contract on June 30, 2025. The parties involved are remaining silent on the financial details. However, one thing is certain: the Wilhelmshaven site and all employees and customer relationships will be retained.
Takeover after insolvency
Mindfactory ran into financial difficulties at the beginning of the year. In spring, the retailer filed for insolvency under self-administration. At the time, there were rumors that tax inconsistencies had led to a short-term claim in the millions and put Mindfactory in financial difficulties.
After temporary delivery difficulties, the situation at Mindfactory has calmed down again in recent months. The retailer now lists all kinds of current PC processors and desktop graphics cards, including Nvidia's GeForce RTX 5000 models, AMD's Radeon RX 9070 XT and RX 9070, as well as Ryzen 9000, Ryzen 9000X3D and Intel's Core Ultra 200 CPUs. Mindfactory frequently reappears among the cheapest offers in price comparators.

The editorial offices of the heise group, including heise online and c't, remain independent of the retailer division. Managing Director Ansgar Heise says of the takeover: “We are thus securing the company's successful path and want to further expand and strengthen it locally. I can imagine that we will build up a new pillar in our company with the hardware trade division.”
