In einer Mail an die Mitarbeiter der Deutschen Telekom nimmt Konzern-Chef Ron Sommer Stellung zu den jüngsten Turbulenzen, in die der Ex-Monopolist angesichts des Kursverfalls der T-Aktie geriet. Entschieden weist er Rücktrittsforderungen zurück und wirft den Medien und der öffentlichen Meinung vor, am Absturz der T-Aktie mitschuldig zu sein. Wir dokumentierten Sommers Schreiben im Wortlaut:

Liebe Mitarbeiterinnen und Mitarbeiter,

dass unser Unternehmen immer stark im öffentlichen Scheinwerferlicht steht, haben wir in der Vergangenheit sowohl im Positiven als auch in den letzten Monaten in negativer Weise erfahren. Der wesentliche Grund für das hohe zusätzliche Interesse von Seiten der Medien war und ist die sehr unerfreuliche Kursentwicklung der T-Aktie und der T-Online-Aktie.

Wir alle wissen, dass es zwischen veröffentlichter Meinung und Kursentwicklung Zusammenhänge gibt. Und nachdem die eher negative Schlagzeile mehr Aufmerksamkeit und Interesse verspricht, hat ein Unternehmen wie unseres, das verstärkt im öffentlichen Rampenlicht steht, zusätzlich zu den Herausforderungen, die unsere ganze Branche weltweit durch die Entwicklung an den Finanzmärkten gegenwärtig zu meistern hat, noch Probleme in der öffentlichen Berichterstattung.

Dass wir in der Vergangenheit im positiven Sinne Objekt des öffentlichen Interesses waren, ist kein Trost. Auch nicht, dass andere Unternehmen unserer Branche mehr oder weniger unser Schicksal teilen. Ich bedaure diesen Kursverlust, den unsere Aktionäre und damit ja auch die Mehrzahl unserer Mitarbeiterinnen und Mitarbeiter hinnehmen mussten, sehr.

Die negative Kursentwicklung der T-Aktie der letzten Tage ist durch unternehmensbezogene Fakten nicht zu begründen.

Die Bewertung der T-Aktie befindet sich gegenwärtig auf einem Niveau, das überhaupt nichts mehr mit dem Wert des Unternehmens, den Entwicklungschancen und seiner aktuellen Position im Wettbewerb zu tun hat. Gerade die Kursentwicklung der letzten Tage ist durch unternehmensbezogene Fakten nicht zu begründen. Die positiven Stimmen, von denen es in Wirklichkeit eine Menge gibt, gehen in dem diffusen vielschichtigen Meinungsumfeld fast vollkommen unter.

Wir werden unsere Stärken offensiv kommunizieren.

Wir werden deshalb auch noch einmal stärker als bisher im Dialog mit der Öffentlichkeit und der Financial Community unsere Strategie und unsere Stärken kommunizieren und dabei mit einem professionellen Aktienmarketing zu Werke gehen. Lassen Sie mich an dieser Stelle nun in kurzer Form zu den negativen Schlagzeilen, die in den Medien wiederholt an unsere Adresse gerichtet werden, Stellung nehmen. Hier geht es um die angeblich fehlerhafte Unternehmensstrategie, um den enormen Stand der Verbindlichkeiten - z.B. auch in Folge des Kaufs von UMTS-Lizenzen - oder den angeblich zu hohen Preis für den geplanten Erwerb des US-Mobilfunkunternehmens VoiceStream.

Fachleute bestätigen: Die Entscheidung für VoiceStream war richtig.

Ich beginne mit dem letzten Punkt. Alle wirklich ernstzunehmenden Beobachter unserer Branche sind - wie wir - der Meinung, dass die Entscheidung für VoiceStream strategisch richtig war und ist. Die Chancen in dem bislang vergleichsweise schwach entwickelten US-Mobilfunkmarkt sind riesengroß. Und unser Konzept, auf GSM-Basis den ersten transatlantischen und weltweit größten Anbieter zu schaffen, wird inzwischen praktisch von keinem Marktteilnehmer mehr ernsthaft in Frage gestellt.

Selbstverständlich bleibt in den USA noch viel zu tun, wenn wir die Genehmigung für den VoiceStream-Erwerb erhalten. Aber der Umsatzzuwachs bei VoiceStream von 304 % und die Steigerung der Kundenzahl von 359 % im zurück liegenden Geschäftsjahr sprechen eine deutliche Sprache. Ebenso wie die Absicht von Wettbewerbern, in den USA nun auch - aber eben mit großer Verspätung - GSM-Netze aufzubauen.

Unsere Zukunftsinvestitionen stehen auf einer stabilen finanziellen Grundlage.

Zum Stand der Verbindlichkeiten. Fakt ist auch hier, dass wir im Gegensatz zu manchem unserer großen internationalen Wettbewerber erheblich besser finanziert sind. Dazu werden wir wie geplant die Erlöse nutzen, die uns insbesondere durch den Verkauf von Aktivitäten zufließen werden, die nicht mehr zu unserem Kerngeschäft gehören. Bereits im vergangenen Jahr haben wir aus solchen Verkäufen erhebliche Summen erlöst. Zudem haben wir früher und deshalb zu günstigeren Konditionen als unsere Wettbewerber unsere Finanzbasis mit einer globalen Anleihe erweitert und abgesichert, sodass wir hier keinesfalls den Druck verspüren, dem andere Unternehmen unserer Branche ausgesetzt sind.

Mit kurzen Worten: unsere Zukunftsinvestitionen haben eine Menge Geld gekostet - insgesamt rund 100 Milliarden Euro haben wir in den letzten beiden Jahren inklusive des geplanten Erwerbs von VoiceStream investiert bzw. projektiert. Aber wir haben diese Investitionen sehr gezielt, nicht überhastet und immer mit Blick auf unsere finanziellen Möglichkeiten sowie im Rahmen unserer Strategie zur langfristigen Steigerung des Unternehmenswertes getätigt. Unsere Zukunftsplanung steht auf sicheren Beinen und steht in keiner Weise und auch nicht in Teilbereichen zur Disposition.

Kaum einer ist so gut positioniert wie wir, aus UMTS sehr schnell Umsätze und Gewinne zu erzielen.

Das Thema UMTS. Selbstverständlich sind die Lizenzen sehr teuer gewesen. Aber wir haben auch in diesem Fall wie bei allen anderen Investitionen die Wirtschaftlichkeit sorgfältig geprüft und sind zu einem positiven Ergebnis gekommen. Entscheidend ist, welche Chancen man hat, aus UMTS Umsätze und Gewinne zu erzielen - und zwar schneller und in größerem Maße als seine Wettbewerber. Und hier sind wir so gut vorbereitet wie kaum ein anderer.

Nicht zuletzt, weil wir bei den Geschäftskunden, die bei innovativen Technologien erfahrungsgemäß als erste einsteigen, die klare Nummer 1 sind. Erst vor kurzem hat laut WirtschaftsWoche eine Umfrage ergeben, dass 59 Prozent der bis Mitte des Jahres von den Unternehmen in Deutschland geplanten Mobilfunk-Investitionen auf das Konto von T-D1 gehen. Im übrigen verfügen wir dort, wo wir UMTS-Lizenzen gekauft haben, über einen sehr starken Kundenstamm - im Gegensatz zu manch anderem Wettbewerber, der sich im harten Wettbewerb mit relativ gesättigten Märkten überhaupt erst einmal Kunden erobern muss und praktisch bei Null anfängt.

Unsere Strategie: im Gegensatz zu anderen haben wir bereits die notwendigen Weichenstellungen getroffen.

Schließlich das Thema Unternehmensstrategie. Mit unserer 4-Säulen-Wachstumsstrategie sind wir für die Herausforderung in den rasant sich verändernden Märkten besser aufgestellt als jeder unserer Wettbewerber. Insbesondere auf die dominierende Technologieentwicklung des 21. Jahrhunderts, nämlich das Verschmelzen von Telekommunikation und Informationstechnologie zur Telematik, sind wir viel besser vorbereitet als alle anderen. Die notwendigen Weichenstellungen, über die andere zum Teil noch diskutieren, haben wir längst vorgenommen und arbeiten bereits mit Hochdruck daran, die Strategie weiter voran zu treiben.

Beispielsweise mit T-Systems. Durch die Zusammenarbeit mit dem debis Systemhaus sind wir auf einen Schlag zu Europas Nummer 2 im weltweit boomenden Systemlösungsgeschäft aufgestiegen und gehen gerade mit einer aggressiven Kommunikationskampagne in den Markt . Mit T-Systems haben wir bereits unsere nächste Wachstumslokomotive auf die Schiene gesetzt: Im Telematik-Markt, für den bis 2004 allein in Europa ein jährliches Wachstum von 65 Prozent auf 100 Milliarden Euro vorausgesagt wird, geht T-Systems mit klaren Vorteilen an den Start.

Fazit: Wir sind finanziell und strategisch in einer ausgezeichneten Ausgangsposition.

Dies alles zeigt: Es ist eindeutig Fakt, dass wir sowohl finanziell als auch strategisch in einer hervorragenden Position sind, um die uns weltweit Telekommunikationsunternehmen beneiden. Und Fakt ist deshalb auch, dass die T-Aktie viel mehr wert ist, als das Kursniveau, auf dem sie zur Zeit gehandelt wird.

Rücktritts-Spekulationen sind völlig haltlos.

Selbstverständlich trage ich die Verantwortung für die Strategie des Unternehmens. Der daran geübten Kritik habe ich mich auch als erster zu stellen.

Daher sage ich ganz deutlich: Die Spekulationen um meine Person in den letzten Tagen entbehren jedweder Grundlage. Und nochmals: Alle ernst zu nehmenden Fachleute aus dem Bereich der Telekommunikation bestätigen uns, dass unsere Strategie richtig ist. Und vor allen Dingen: dass der Weg, den wir beschreiten, nicht nur der richtige, sondern der notwendige ist. Und dass wir im Kreis der internationalen TK-Unternehmen vergleichsweise beste Voraussetzungen haben.

Ich stehe weiterhin zu meiner Verantwortung - ohne Wenn und Aber. Und bin es nicht zuletzt Ihnen allen schuldig, die in unterschiedlichen Funktionen die Fahrt des Unternehmens steuern und mit vollem Herzen und ganzer Kraft daran arbeiten, die Strategie zum Erfolg zu führen.

Wir haben in den letzten Jahren gemeinsam bereits sehr viel erreicht - viel mehr, als so mancher uns noch vor wenigen Jahren zugetraut hat. Lassen Sie uns alle daher wie bisher mit Engagement, Kraft und Einsatzbereitschaft dafür arbeiten, unser Unternehmen im Wettbewerb weiter voran zu bringen. Unsere Ausgangsposition dafür ist ganz ausgezeichnet, und dies werden auch die Kapitalmärkte bald honorieren.

Dear employees,

Our company is always in the focus of the public spotlight. We have seen this both in the past when the reasons were positive and in the past few months when they have been negative. The main reason for the increased level of interest shown by the media was and is the far from pleasing development of the share prices of the T-Share and the T-Online share.

We all know that there are links between published opinions and the development of share prices. And, as negative headlines tend to attract greater attention and interest, a company such as ours which is subject to such intense public scrutiny has to tackle not only the challenges which currently face our entire industry worldwide with the development of the finance markets but also the problems of public reporting.

The fact that we have in the past been a positive object of public interest is no consolation. Nor is the fact that other companies in our industry more or less share our fate. I regret very much this fall in the share price which has hit our shareholders and therefore the majority of our employees.

The negative developments in the price of the T-Share in the past few days is not justified by any facts relating to the company.

The valuation of the T-Share is currently at a level which bears no relation to the value of the company, its prospects for development or its current position in competition. The development of the share price in the past few days in particular cannot be explained by facts relating to the company. The positive voices, of which there are in reality a great many, are almost completely drowned out in the multi-layered variety of opinions.

We will communicate our strengths emphatically.

Let me now respond briefly to the negative headlines which are repeatedly directed at us in the media. They are mainly concerned with the supposedly inappropriate corporate strategy, the enormous level of debt - as a result, for example, of the purchase of UMTS licences - or the apparently excessive price for the planned acquisition of the U.S. mobile communications company VoiceStream.

Experts confirm: The decision to acquire VoiceStream was right.

I shall start with the final point. All really serious observers of our industry are of the opinion - as are we - that the decision to acquire VoiceStream was and is the correct strategic decision. The opportunities on the so far relatively underdeveloped U.S. mobile communications market are enormous. And practically nobody in the market now seriously questions our concept of creating the first transatlantic and world's largest provider on the basis of GSM technology.

Of course there is still great deal to do in the USA once we receive approval of the VoiceStream acquisition. But the growth of 304 % in VoiceStream's revenue and the 359 % increase in the number of VoiceStream customers in the past financial year speak for themselves. So does the intention of competitors now to follow suit in setting up GSM networks - albeit with a considerable delay.

Our investments in the future have a sound financial basis.

As for the level of debt: It is a fact that we are considerably better financed than some of our large international competitors. We will, as planned, use the proceeds from the sale of activities which no longer form part of our core activities. we already received considerable sums last year as proceeds from such sales. In addition, we expanded and safeguarded our financial basis with a global bond much sooner and therefore under far more favourable conditions than our competitors, which means that we are in no way under the same pressure as other companies in the industry.

To put it briefly: Our investments in the future have cost a lot of money - we have invested or planned a total of approximately 100 billion euros in the last two years, including the planned acquisition of VoiceStream. But we have made these investments with specific focus, never hastily, and always with an eye on our financial capabilities and within our strategy of increasing the shareholder value of the company in the long term. Our plans for the future have a sound foundation and are not to be shaken, not even in individual areas.

Hardly anyone is as well positioned as we are to generate revenues and profits from UMTS so quickly.

And now to UMTS: Of course the licences were very expensive. But, as with all other investments, we did analyse the economic viability very carefully and come to a positive conclusion. The decisive factor is what opportunities one has to generate revenues and profits from UMTS - faster and to a greater extent than one's competitors. And hardly anyone is as well prepared as we are in this respect.

Not least because we are the clear number 1 among business customers, who are typically the first to take up new technologies. Only recently the Wirtschaftswoche business magazine reported on a survey which found that T-D1 accounts for 59 per cent of all investment companies in Germany are planning to make in mobile communications by the middle of this year companies in Germany. And besides, wherever we have acquired UMTS licences, we have a very strong customer base - in contrast to some of our competitors who have to start - practically from zero - winning customers over in an intense competitive environment with relatively saturated markets.

Our strategy: In contrast to other companies, we have already laid our foundation.

Finally to the matter of corporate strategy: Our 4 pillar growth strategy puts us in a better position to tackle the challenge of the rapidly changing markets than any of our competitors. This is particularly true of the dominant technological development of the 21st century, namely the fusion of telecommunications and information technology to create telematics. While some are even now still talking about it, we laid our foundations long ago and are already working dedicatedly on furthering this strategy.

Let us take the example of T-Systems. As a result of our cooperation with debis Systemhaus, we became Europe's number 2 in the globally booming systems solutions market overnight and are just entering the market with an aggressive communication campaign. T-Systems is our next growth locomotive to be put on the track and clear advantages in entering the telematics market for which annual growth rates of 65 per cent to 100 billion euros are being predicted to the year 2004 in Europe alone.

In summary: We are in an excellent position, both financially and strategically.

All this goes to show: It is a indisputable fact that we are in an excellent position, both financially and strategically, a position which is the envy of telecommunications companies around the world. And it is therefore also a fact that the T-Share is worth far more than the price at which it is currently being traded.

Speculations of resignation completely unfounded.

Of course I bear the responsibility for the company's strategy. It is I who must face the criticism of this strategy.

I say therefore very clearly: The speculation of the past few days concerning me is totally without foundation. And once more: All serious telecommunications experts confirm that our strategy is the right one. And above all: that the course we are taking is not only the right one, but also the necessary one. and that we have excellent preconditions in comparison with other international telecommunications companies.

I continue to stand by my responsibility - without ifs and buts. I owe it not least to all of you who, in your various functions, are driving the company along its course and are giving your heart and your strength to the job to make this strategy a success.

We have achieved a great deal together in the past years - perhaps more than some thought us capable of a few years ago. Let us all therefore continue to work with commitment, strength and willingness to push our company further ahead in competition. We are in an excellent starting position and this will be rewarded by the capital markets soon.
